Master Service Agreement for Yaswami Platform Access

This public offer regulates the terms of providing access to the Yaswami Platform and is a legally binding agreement between the Operator and the Master.
1.1. Yaswami Platform — a set of software located on the Internet at https://yaswami.com and integrated into messengers (Telegram, VK Mini App), designed for Masters to post events, services and sell electronic tickets.
1.2. Service — functional capabilities of the Platform provided by the Operator in accordance with tariffs.
1.3. "Plus" / "Club" Subscription — a paid option for access to extended Service functionality costing 990 (nine hundred and ninety) rubles per year and 4,900 (four thousand nine hundred) rubles per month respectively.
1.4. Client — an individual or legal entity purchasing services from the Master through the Platform.
1.5. Personal Account — a closed section of the Platform accessible to the Master after authorization, where statistics are tracked, payment processing is connected, and subscriptions are arranged.
1.6. Master — an individual (individual entrepreneur, self-employed) or legal entity using the Platform to post services, conduct events and interact with Clients.
2.1. The Operator provides the Master with access to the Platform and the right to use the Service for posting offers, selling services and working with audiences, while the Master pays for the Operator's services in the manner and under the conditions of this Agreement.
2.2. The Operator accepts payments from Clients on behalf of the Master within the agency scheme.
2.2.1. A payment made by the Client through the Yaswami service is considered received by the Master. The Operator withholds an agency fee (commission) from the specified payment and transfers the remaining amount to the Master.
2.2.2. The Operator ensures the generation of fiscal receipts to the Client on behalf of the Master:
– if the Master is registered as self-employed — receipt generation is carried out through the FTS API ('My Tax');
– if the Master is registered as an individual entrepreneur or legal entity — receipt generation is carried out through the Operator's cash register in 'agent' mode with indication of the Master's details.
2.2.3. The Master confirms and instructs the Operator to carry out fiscalization of payments in the specified manner, bears responsibility for the accuracy of transmitted data (TIN, registration status, tax regime and other details), as well as for the legality of providing services.
3.1. Operator's Obligations
- 3.1.1. Provide the Master with access to the Service in accordance with the selected tariff.
- 3.1.2. Maintain Platform functionality for at least 95% of the time in a calendar month.
- 3.1.3. Ensure personal data protection in accordance with Federal Law 152 and implement necessary organizational and technical measures.
3.2. Operator's Rights
- 3.2.1. Suspend Master's access in case of violation of RF legislation or Agreement terms.
- 3.2.2. Make changes to the Service, improving or expanding functionality, notifying the Master by publication on yaswami.com website.
3.3. Master's Obligations
- 3.3.1. Connect their own online cash register/acquiring and ensure sales fiscalization (Federal Law 54).
- 3.3.2. Comply with personal data legislation requirements when processing Client data.
- 3.3.3. Provide accurate information about their services and observe consumer rights.
- 3.3.4. Pay for subscription when choosing "Plus"/"Club" tariffs.
3.4. Master's Rights
- 3.4.1. Use the Service in accordance with its intended purpose and selected tariff.
- 3.4.2. Receive technical support through Yaswami support channel.
4.1. Use of basic Yaswami platform functionality for Masters is carried out without charge.
4.2. The Operator receives remuneration in the form of commission withheld from the payment amount made by the Client in favor of the Master. The amount and procedure for commission withholding are published on the Operator's website and may be changed by the Operator unilaterally with notification to Masters no later than 30 calendar days in advance.
4.3. Commission is withheld automatically upon receipt of payment from the Client. The remaining amount is transferred to the Master.
5.1. The Master entrusts the Operator with processing Client personal data to the extent necessary for Platform operation.
5.2. The Operator is a personal data operator and processes data in accordance with Yaswami's Privacy Policy (located at: https://yaswami.com/en/privacy-policy). The Master accepts the Policy terms upon accepting this Offer.
5.3. The Master acts as an independent personal data operator regarding their Clients' data and must comply with Federal Law 152 requirements.
5.4. The Parties ensure implementation of personal data protection measures provided by Russian Government Resolution No. 1119 and FSTEC Order No. 21.
6.1. The Operator grants the Master a non-exclusive license to use the Platform to the extent necessary for Agreement performance.
6.2. The Master grants the Operator a non-exclusive right to use content (images, texts, etc.) for display on the Platform and marketing materials.
7.1. The Parties bear responsibility for non-performance or improper performance of obligations in accordance with RF legislation.
7.2. The Master independently bears responsibility to Clients for the quality and safety of services provided.
7.3. The Operator is not liable for direct or indirect damage caused to the Master or third parties due to Platform use, except in cases of intent or gross negligence by the Operator.
8.1. The Agreement enters into force from the moment of acceptance and is valid indefinitely.
8.2. The Master has the right to unilaterally withdraw from the Agreement by sending notice to the Operator 15 calendar days in advance and ceasing Platform use.
8.3. The Operator has the right to terminate the Agreement if the Master violates the terms of this Offer from the moment of sending notification.
9.1. The Parties are released from liability for partial or complete non-performance of obligations if it resulted from force majeure circumstances confirmed by a competent authority.
10.1. The Parties will take all measures to settle disputes through negotiations.
10.2. If no agreement is reached, the dispute shall be considered in court at the Operator's registration location.
11.1. Performance of any of the following actions means full and unconditional acceptance of the terms of this Offer:
- filling out the registration form on the Platform;
- authorization through Telegram/VK;
- actual use of the Service.
11.2. From the moment of acceptance, the Agreement is considered concluded in written form (Article 434 of the Civil Code of the Russian Federation).
